What should I watch out for with perpetual licenses in a freelance contract?
#1
I just had a potential client ask me to sign a contract that includes a perpetual license for the work, but they’re only paying the project fee once. This feels off, like they could reuse my designs for unlimited future products without any additional compensation to me. Has anyone else navigated this kind of licensing clause in a freelance agreement?

I ran into that exact thing last year. I pushed back and asked for a separate reuse license with its own fee, limited to defined products or markets. The client agreed to an add on instead of letting it run forever.

Honestly I felt uneasy from the start. One upfront project fee with perpetual rights sounds like they can reuse it anywhere, which dulls your bargaining power. I suggested a per project license or a time-limited grant and walked away from one deal.

I tried to read the fine print with a friend who does contract work, and the perpetual clause looked bigger than I expected. We ended up talking about a capped term and a renewal option, though I’m not sure that would have felt fair to me in every context.

Do you think you can negotiate perpetual rights but still charge ongoing royalties or a usage fee later, or is that still a red flag?
